1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of MaestroX Social (“Service,” “Platform,” “we,” “us,” or “our”), operated by Medici + Maestro (“Company”). By accessing or using the Service, you (“Client,” “User,” or “you”) agree to be bound by these Terms. If you do not agree, you may not use the Service.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and “you” refers to that entity.
2. Description of Service
The Service is a social media management, scheduling, analytics, and reporting platform that publishes, aggregates, displays, and analyzes authorized data from connected third-party social media platforms, which may include Facebook, Instagram, LinkedIn, TikTok, and YouTube (collectively, “Connected Platforms”).
The Service is provided by Medici + Maestro to its clients and authorized users for the purpose of publishing content, monitoring, analyzing, and reporting on social media performance.
3. Eligibility
You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements.
4. Account Registration and Security
To use the Service, you may be required to create an account and connect your Connected Platform accounts via authorized OAuth authentication. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security and confidentiality of your account credentials
- Notify us immediately of any unauthorized access or use of your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that violate these Terms or the terms of any Connected Platform.
5. Connected Platforms and Third-Party Data
5.1 Authorization
When you connect a Connected Platform account to the Service, you authorize us to access, retrieve, store, and display data from that platform on your behalf, limited to the permissions you grant during the authorization process.
5.2 Your Responsibility
You represent and warrant that you have the necessary rights and authority to connect each Connected Platform account and to authorize our access to the associated data. You are responsible for ensuring that your use of the Service complies with the terms of service, developer policies, and community guidelines of each Connected Platform.
5.3 Platform Changes
Connected Platforms may change their APIs, data availability, rate limits, or terms at any time without notice. We are not responsible for interruptions, data gaps, or feature changes caused by Connected Platforms.
5.4 Revocation
You may disconnect any Connected Platform at any time through your account settings or directly through the Connected Platform. Disconnection will stop future data retrieval but may not immediately delete previously retrieved data (see Section 9).
5.5 Meta Platforms (Facebook & Instagram)
Use of the Service’s Facebook and Instagram features is additionally subject to Meta’s Platform Terms and Developer Policies. By connecting a Facebook Page or Instagram Business account, you grant the Service permission to publish, edit, schedule, and read content on those assets, and you agree that we may store the long-lived System User access tokens issued by Meta solely for the purpose of providing the Service. We will use Meta-derived data only to operate features you have authorized and will not sell, rent, or share Meta-derived data with any third party for advertising or marketing purposes.
6. Acceptable Use
You agree not to:
- Use the Service in violation of any applicable law, regulation, or third-party rights
- Violate the terms of service, policies, or developer agreements of any Connected Platform
- Attempt to gain unauthorized access to the Service, other users’ accounts, or connected third-party systems
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use the Service to scrape, harvest, or collect data in a manner not explicitly authorized by the Connected Platform
- Resell, sublicense, or redistribute the Service or its data outputs without our prior written consent
- Upload or transmit malicious code, viruses, or other harmful content
- Use the Service to harass, defame, or infringe the rights of any third party
- Interfere with or disrupt the integrity or performance of the Service
7. Intellectual Property
7.1 Our Property
The Service, including all software, design, content, trademarks, and underlying technology, is owned by Medici + Maestro or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely in accordance with these Terms.
7.2 Your Content
You retain ownership of any data or content you provide to the Service. By connecting Connected Platforms, you grant us a limited license to access, process, store, and display that data solely for the purpose of providing the Service to you.
7.3 Connected Platform Content
All data retrieved from Connected Platforms remains subject to the intellectual property rights of the respective platform and its users. You may not redistribute such data in violation of the originating platform’s terms.
8. Fees and Payment
If the Service is offered on a paid basis, applicable fees will be communicated to you prior to purchase or subscription. All fees are non-refundable except as expressly stated. We reserve the right to change pricing with reasonable notice.
9. Data, Privacy, and Deletion
9.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
9.2 Data Retention
We retain data retrieved from Connected Platforms for the duration of your account and as needed to provide the Service. You may request deletion of your data at any time by contacting us at privacy-support@mx2.llc or through our data deletion process.
9.3 Data Deletion Upon Disconnection
When you disconnect a Connected Platform or terminate your account, we will delete associated data within a commercially reasonable timeframe (typically within 30 days), except where retention is required by law or for legitimate business purposes (e.g., fraud prevention, legal compliance).
10. Service Availability and Modifications
We strive to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service (or any feature) at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA RETRIEVED FROM CONNECTED PLATFORMS WILL BE COMPLETE, ACCURATE, OR TIMELY. YOU USE THE SERVICE AT YOUR OWN RISK.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDICI + MAESTRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
13. Indemnification
You agree to indemnify, defend, and hold harmless Medici + Maestro and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including the terms of any Connected Platform; or (d) any data you provide or authorize the Service to access.
14. Termination
14.1 Termination by You
You may terminate your account at any time by disconnecting all Connected Platforms and contacting us to close your account.
14.2 Termination by Us
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms or the terms of any Connected Platform.
14.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 7, 9, 11, 12, 13, and 15) shall survive.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Pennsylvania, and you consent to the exclusive jurisdiction of those courts.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last Updated” date and, where changes are material, provide reasonable notice (such as by email or a notice within the Service). Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
17. Miscellaneous
17.1 Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices we publish, constitute the entire agreement between you and Medici + Maestro regarding the Service.
17.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17.3 No Waiver
Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other provision.
17.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

SMS Messaging Terms
By providing your mobile phone number and opting in through our products at client.mx2.agency or elsewhere, you agree to receive SMS messages from Medici + Maestro Agency (“Mx2”, “we”, “us”). These messages may be sent using an automatic telephone dialing system. Consent to receive marketing SMS is not a condition of purchasing any goods or services.
Opt-in
You opt in to the SMS Service through consent controls in your portal account settings or by confirming participation in a specific agency-managed event. Marketing consent is captured separately from transactional consent. See https://mx2.agency/sms-consent/ for details about how consent is collected.
Opt-out
You may opt out at any time by replying STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to any message. You will receive one final confirmation message and no further SMS messages thereafter. You may also revoke consent at any time from your portal account settings.

Frequency
Message frequency varies. Most recipients receive fewer than 10 messages per month.
Rates
Message and data rates may apply per your wireless carrier plan. We are not responsible for any charges your wireless carrier may apply.
Carrier disclaimer
Carriers, including but not limited to AT&T, Verizon, T-Mobile, Sprint, and US Cellular, are not liable for delayed or undelivered messages.
Eligibility
You represent that you are the subscriber to or customary user of the mobile phone number you provide, and that you are authorized to consent to receive SMS messages at that number.
Changes
We may modify these SMS terms at any time by posting the updated terms at mx2.agency/terms-of-service. Continued participation in the SMS Service after changes constitutes acceptance of the updated terms.
